These terms and conditions outline the rules and regulations for the use of The Park’s Website. The Park is operated by Nexus Global Mission LLC. By accessing this website, we assume you accept these terms and conditions in full. Do not continue to use The Park’s website if you do not accept all of the terms and conditions stated on this page.

Section 1 Introduction & Acceptance of Terms

These Terms and Conditions (these "Terms") constitute a legally binding agreement between Nexus Global Mission Inc., a Virginia nonprofit corporation recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code, doing business as "The Park" (collectively, "Nexus Global Mission," "The Park," "Company," "we," "us," or "our"), and you, the individual or entity accessing or using our services ("Member," "you," or "your"). These Terms govern your access to and use of The Park's website located at https://parklearning.com (the "Website"), including all subpages, content, features, mobile applications, digital curriculum resources, and related services offered through the Website (collectively, the "Services").

By accessing the Website or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Website and Services. These Terms, together with our Privacy Policy and any Content License agreements, constitute the complete agreement between you and The Park (the "Agreement").

Section 2 Definitions

Throughout these Terms, the following definitions apply:

• "Content" means all text, images, video, audio, graphics, lesson plans, activity guides, large group and small group guides, memory verse materials, devotional content, games, and any other curriculum materials or resources made available through the Services.

• "Member" or "Subscriber" means any individual or organization that has registered an account and/or purchased a subscription to access the Services.

• "Organization" means the church, ministry, nonprofit, or other entity on whose behalf a Member accesses the Services.

• "Authorized Users" means employees, staff, and volunteers of the subscribing Organization who are authorized by the Member to access Content for ministry purposes.

• "Billing Cycle" means the recurring period (monthly or annual) for which subscription fees are charged.

Section 3 Eligibility & Account Registration

To register for an account or subscribe to the Services, you represent and warrant that:

• If registering on behalf of an Organization, you have the legal authority to bind that Organization to these Terms.

• All registration information you provide is truthful, accurate, current, and complete.

• You will maintain and promptly update your account information to keep it accurate and current.

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at contact@parklearning.com of any unauthorized use of your account or any other breach of security. The Park will not be liable for any loss or damage arising from your failure to safeguard your account credentials. Each subscription is intended for use by a single Organization. Sharing account access across multiple churches, ministries, or organizations is prohibited unless each Organization maintains its own separate subscription.

Section 4 Membership, Subscriptions & Billing

The Park offers digital curriculum resources and related services through paid membership subscriptions. Access to Content is provided on a subscription basis and managed through our ecommerce and membership platforms.

4.1 Subscription Plans

Memberships are billed on a recurring basis (monthly or annually, depending on the plan selected) and are processed through Shopify and its integrated payment processors. Prices, billing cycles, and features vary by membership tier and are displayed at checkout.

4.2 Payment Authorization

By subscribing, you authorize The Park to: (a) charge your selected payment method automatically at the beginning of each Billing Cycle; and (b) store payment and billing information in accordance with our payment processor's security standards. You represent and warrant that you have the legal right to use the payment method provided.

4.3 Automatic Renewal

Subscriptions renew automatically at the end of each Billing Cycle unless canceled prior to the renewal date. You are responsible for ensuring that your billing information remains current. Failure to process payment may result in temporary suspension or termination of access to the Services.

4.4 Pricing Changes

We may update membership pricing, plan features, or billing structures from time to time. If pricing changes affect your active subscription, we will notify you in advance, and changes will take effect at the next renewal period. Your continued use of the Services after a pricing change constitutes acceptance of the new pricing.

Section 5 Free Trials

The Park may, at its sole discretion, offer a free trial to new Members. Free trials provide temporary access to select or full Content at no cost for a limited period. At the end of the trial period, your membership will automatically convert to a paid subscription unless canceled prior to the trial's expiration. You may cancel at any time during the trial through your account settings to avoid being charged. Trial eligibility is limited to one per Organization unless otherwise stated.

Section 6 Cancellation & Refund Policy

6.1 Cancellation

You may cancel your subscription within 24 hours of purchase in your account dashboard or by contacting us at contact@parklearning.com. Cancellation will take effect at the end of the current Billing Cycle. You will retain access to paid Content through the remainder of that period.

6.2 Refund Policy

Because The Park provides immediate access to digital content upon subscription, all subscription fees are non-refundable once the Billing Cycle has begun, except where required by applicable law. If you believe a billing error has occurred, please contact us promptly at contact@parklearning.com.

6.3 Plan Changes

Plan upgrades or downgrades may take effect immediately or at the next Billing Cycle, depending on the nature of the change. We do not provide partial refunds for unused time on a downgraded plan except where required by law.

Section 7 Intellectual Property Rights

All Content available through the Services, including but not limited to text, images, photographs, illustrations, video, audio, music, graphics, logos, trademarks, trade names, lesson plans, activity guides, software, and compilations thereof, is the exclusive property of The Park and/or Nexus Global Mission Inc., or its licensors, and is protected by United States and international copyright, trademark, and other intellectual property laws. The Park name, logo, and all related names, logos, product and service marks, designs, and slogans are trademarks of Nexus Global Mission Inc. You may not use or copy such marks without our prior written permission. All intellectual property rights not expressly granted to you under these Terms are reserved by The Park.

Section 8 Content License & Permitted Use

8.1 License Grant

Subject to your compliance with these Terms and maintenance of an active subscription, The Park grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for the internal ministry purposes of your subscribing Organization during the term of your active subscription.

8.2 Permitted Uses

Under this license, Authorized Users of your subscribing Organization may:

• View, download, and print Content for use in ministry programming within your Organization.

• Display or project video and visual Content during ministry gatherings and services conducted by your Organization.

• Share printed copies of activity sheets, lesson guides, and devotional materials with families and children participating in your Organization's ministry programs.

• Distribute Content via email, private file-sharing, or portable media to Authorized Users and participating families within your Organization.

• Adapt or contextualize lesson scripts for your specific ministry context, provided that adapted materials are not redistributed outside your Organization and The Park is acknowledged as the original source.

8.3 Prohibited Uses of Content

You agree that you will not, and will not permit any third party to:

• Upload, post, or stream Content to any public platform, including but not limited to YouTube, Facebook, Instagram, TikTok, Vimeo, or any other social media, video-sharing, or file-sharing service.

• Share, sell, sublicense, rent, lease, or otherwise distribute Content to any individual or organization outside your subscribing Organization.

• Share login credentials or account access with any person or organization outside your subscribing Organization.

• Reproduce, duplicate, copy, or republish Content for any purpose other than the permitted uses described in Section 8.2.

• Modify and redistribute Content as your original work or claim authorship of Content created by The Park.

• Use Content for any commercial purpose outside of ministry programming, including resale, advertising, or revenue generation.

8.4 Termination of License

The license granted herein terminates immediately upon expiration or cancellation of your subscription, termination of your account, or breach of these Terms. Upon termination, you must cease all use of Content and destroy any downloaded or printed copies in your possession, except for materials previously distributed to families as part of active ministry programming.

Section 9 Prohibited Uses

In addition to the content-specific restrictions in Section 8, you agree not to use the Website or Services to:

• Violate any applicable federal, state, local, or international law or regulation.

• Infringe upon the intellectual property rights of The Park or any third party.

• Transmit any material that is defamatory, obscene, threatening, abusive, harassing, or otherwise objectionable.

• Upload or transmit viruses, worms, Trojan horses, or any other malicious code or technology designed to interrupt, destroy, or limit the functionality of the Services.

• Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services.

• Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.

• Interfere with or disrupt the Services or servers or networks connected to the Services.

• Collect or track the personal information of others through the Services.

• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.

• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.

We reserve the right to terminate your access to the Services for violating any of these prohibited uses, with or without notice, and without liability to you.

Section 10 User-Generated Content

Certain areas of the Website or Services may permit you to post, submit, or exchange opinions, information, or other material ("User Content"). User Content does not reflect the views or opinions of The Park, its agents, or affiliates.

By submitting User Content, you grant The Park a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Services.

You represent and warrant that: (a) you own or have the right to submit the User Content; (b) the User Content does not infringe any third party's intellectual property rights; and (c) the User Content does not contain defamatory, unlawful, or otherwise objectionable material.

The Park does not pre-screen User Content but reserves the right to monitor, review, and remove any User Content at its sole discretion. To the extent permitted by applicable law, The Park shall not be liable for any User Content or any loss, cost, or damages arising from the use or posting of User Content.

Section 11 Privacy, Data Collection & Cookies

Your use of the Services is also governed by our Privacy Policy, available at https://parklearning.com/privacy, which describes how we collect, use, store, and protect your personal information. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

11.1 Information We Collect

In the course of providing the Services, we may collect the following categories of information: account registration information (name, email address, church/organization name); payment and billing information (processed through third-party payment processors); usage data and analytics; and device and browser information.

11.2 Cookies and Tracking Technologies

We employ cookies and similar tracking technologies to enable Website functionality, remember user preferences, track analytics, and improve user experience. Cookies may be used to remember items in your cart, save preferences for future visits, compile aggregate data about site traffic and interactions, and track advertising performance. We may use third-party services to track this information on our behalf. You may control cookie preferences through your browser settings, though disabling cookies may affect Website functionality.

11.3 Third-Party Data Processing

We share information with third-party service providers as necessary to operate the Services. These providers are detailed in Section 14. Each provider processes data in accordance with their own terms and privacy policies.

Section 12 Children's Privacy & COPPA Awareness

The Park provides children's ministry curriculum designed for use by adults—specifically parents, guardians, and ministry leaders. While the Content is created for the spiritual development of children, the Website and Services are designed for and directed to adult users only. Accounts are intended to be created, accessed, used and managed by individuals who are eighteen (18) years of age or older.

The Park does not knowingly collect personal information from children under the age of thirteen (13). If we become aware that we have inadvertently collected personal information from a child under 13 without verified parental consent, we will take prompt steps to delete such information from our records.

Parents and guardians are solely responsible for supervising their children's interaction with any Content or materials obtained through the Services. If you are an Authorized User, parent or guardian and believe that a child has provided personal information to us, please contact us immediately at contact@parklearning.com so that we can take appropriate action. If The Park develops features in the future that are directly accessed or used by children (such as interactive mobile applications), we will implement policies which are in full compliance with the Children's Online Privacy Protection Act (COPPA), including obtaining verifiable parental consent prior to collecting any personal information from children.

Section 13 Email Communications & Marketing

By creating an account or subscribing to the Services, you consent to receive electronic communications from ThePark, including:

• Transactional emails: account confirmations, billing receipts, subscription renewal notices, password resets, and service announcements.

• Marketing emails: new curriculum announcements, ministry tips, feature updates, and promotional offers. You may opt out of marketing emails at any time by clicking the "unsubscribe" link included in each marketing email or by contacting us at contact@parklearning.com. Please note that you may not opt out of transactional emails that are essential to the operation of your account and subscription. The Park uses third-party email service providers to deliver communications. By consenting to receive emails from The Park, you acknowledge that your email address and related data will be processed by these third-party providers in accordance with their respective privacy policies and applicable anti-spam laws, including the CAN-SPAM Act.

Section 14 Third-Party Services & Platforms

The Park uses third-party services to provide ecommerce, membership management, analytics, email marketing, video hosting, and payment processing. By using the Services, you agree to comply with the applicable terms and policies of these providers. Current third-party service providers include, but are not limited to:

• Shopify — ecommerce platform, membership management, and payment processing (shopify.com/legal)

• Shopify Payments / Stripe — payment processing and billing (stripe.com/legal)

• Omnisend — email marketing and subscriber communications (omnisend.com/legal)

• Video hosting services — for curriculum video content delivery

• Analytics services — for website usage data and performance monitoring

The Park is not responsible for the terms, privacy practices, or actions of any third-party service provider. We are not liable for outages, delays, data breaches, or interruptions caused by third-party platforms beyond our reasonable control. We encourage you to review the terms and privacy policies of each third-party service.

Section 15 Disclaimer of Warranties

THE SERVICES, WEBSITE, AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PARK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE PARK DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) ANY CONTENT WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

The Park provides curriculum materials for educational and ministry purposes. The Content is not a substitute for professional theological, educational, psychological, or medical advice. You assume full responsibility for how Content is used within your ministry context.

Section 16 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PARK, NEXUS GLOBAL MISSION INC., OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE PARK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE PARK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO THE PARK DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

Nothing in these Terms shall exclude or limit our liability for: (a) death or personal injury caused by The Park’s negligence; (b) The Park’s fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.

Section 17 Indemnification

You agree to indemnify, defend, and hold harmless The Park, Nexus Global Mission Inc., and our respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any User Content you submit or transmit through the Services; or (e) any claim that your use of the Services caused damage to a third party. This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Services.

Section 18 Account Suspension & Termination

We reserve the right to suspend or terminate your access to the Services, in whole or in part, at our sole discretion, with or without notice, for any reason, including but not limited to:

• Failure to pay subscription fees or disputed payment transactions.

• Violation of these Terms, including the prohibited uses and content license restrictions.

• Account usage that is abusive, fraudulent, or misrepresentative.

• Conduct that we determine, in our sole discretion, may expose The Park, our members, or third parties to legal liability or reputational harm.

Termination for cause does not entitle the Member to a refund of any subscription fees already paid. Upon termination, your right to access and use the Services, including all Content, ceases immediately, and the provisions of Section 8.4 shall apply.

Section 19 Governing Law & Dispute Resolution

19.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

19.2 Informal Resolution

Before initiating any formal legal proceeding, the parties agree to first attempt to resolve any dispute informally by contacting The Park at contact@parklearning.com. The parties shall use good faith efforts to resolve the dispute within thirty (30) days of the initial written notice.

19.3 Binding Arbitration

If informal resolution is unsuccessful, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Prince William County, Virginia, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. You agree to waive any challenge to the location of the arbitration, including any objection based on inconvenience of the forum or similar objection.

19.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against The Park.

19.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

Section 20 Force Majeure

The Park shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, fire, flood, earthquake, war, terrorism, civil unrest, government actions, embargoes, power failures, internet or telecommunications outages, failures of third-party service providers (including hosting and payment processors), cyberattacks, labor disputes, or any other event beyond the reasonable control of The Park.

Section 21 Modifications to These Terms

The Park reserves the right to modify, amend, or update these Terms at any time, at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of these Terms and may provide additional notice via email or through the Website.

Your continued use of the Services after the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, you must discontinue use of the Services and cancel your subscription. We encourage you to review these Terms on a regular basis.

Section 22 Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

Section 23 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by The Park on the Website, constitute the entire agreement between you and The Park concerning your use of the Services. These Terms supersede all prior or contemporaneous agreements, communications, proposals, and representations, whether oral or written, between you and The Park with respect to the Services.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. The Park's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
